| Job Duties: | - Providing legal assistance in drafting and negotiating legal documents of all types. - Drafting, negotiating, reviewing, analyzing, and interpreting various commercial contracts. - Assisting the General Counsel with managing the company’s legal risk in various areas of law (including contract, litigation, employment law, real estate, intellectual property, finance, corporate, and others). - Providing representation relating to matters before agencies of the CNMI government. - Assisting the General Counsel in managing the company’s relationship with its lending clients, including restructurings, settlement agreements, and creditor bankruptcy matters. - Researching and interpreting laws, court decisions, ordinances, and other legal authorities from a multitude of jurisdictions, as needed, to support the company’s operations. - Rendering legal advice to the General Counsel and other members of the company’s leadership/management group as needed. - Assisting the General Counsel in monitoring corporate compliance obligations and the implementation and management of the company’s policies, procedures, and programs. - Monitoring developments in new and emerging laws relevant to the business of the company, conducting legal research, and writing legal and other memoranda. - Coordinating the company’s work with outside counsel. |

| Qualification Requirements: | - Juris Doctor (J.D.) from an accredited law school with a strong academic record. - Member in good standing with the bar of any U.S. State or Territory with a strong preference for candidates that have already been licensed in the Commonwealth of the Northern Mariana Islands. Any candidate that is not already a member in good standing with the CNMI bar will be required to obtain a CNMI license within six (6) months of being hired.3 – 5 years of corporate or law firm experience. - Experience in general corporate matters, lending, and real estate transactions is preferred. - Experience in drafting commercial contracts, corporate documents, powers of attorney, confidentiality / non-disclosure agreements, or other similar documents. - A work record that demonstrates professionalism, sound judgment, discretion, and integrity. - Comfortable and confident providing risk-based guidance in a fluid environment. - Ability to work both independently and collaboratively with colleagues. - Ability to proactively anticipate and act upon the legal work of the office. - Self-starter with initiative and strong organizational skills. - Outstanding written and verbal communication skills, ‘hands-on’ style, and willingness to proactively engage with peers while maintaining an open-minded approach. - Ability to exercise discretion and independent judgment in order to implement new ideas or strategies, or to identify and address process gaps or problems. - Ability to work well with business people in identifying, quantifying and balancing risks and rewards. - Demonstrated attention to detail, discretion and experience handling highly sensitive and confidential information. - Familiarity with e-discovery issues, including document retention policies and procedures, third party subpoena compliance and law enforcement requests for user information and corporate records. - Demonstrated commitment to high professional ethical standards. |
